CONTRACT FOR SERVICE AGREEMENT 

THIS AGREEMENT is made on 16/03/2026  between 

HEBAT REALTORS SDN.  BHD. (E(1)2097) incorporated under the Valuers, Appraisers, Estate Agents And Property Managers Act 1981 (‘the Act’) and having its registered office at 32-2A, JALAN UP1/7, UKAY PERDANA, 68000 AMPANG, SELANGOR, MALAYSIA (hereinafter referred to as "the Agency”) of the one part

(hereinafter referred to as "the Negotiator") of other part. 

WHEREAS the Agency is a composite entity licensed under the Act and carries on real estate agency business. The Negotiator is desirous of being appointed as the Agency's Negotiator respectively to transact real estate agency business on the Agency's behalf. 

NOW IT IS HEREBY AGREED as follows: -  

1.0 DEFINITION AND INTERPRETATION  

1.1 In this Agreement, unless the contrary intention appears, the following terms shall have the following meanings:- 

  1. ‘the Rules’ means Valuers, Appraisers, Estate Agents And Property Managers Rules 1986; 
  1. ‘the Standards’ means Malaysian Estate Agency Standards; 
  1. 'Agency Rules and Regulations' means any rules and regulations presently in force in respect of the real estate agency business of the Agency. The Agency, may from time to time, at their absolute discretion vary the Agency Rules and Regulations and such variations shall be notified to the Negotiator according to Clause 1.3 hereof;  
  1. 'Commencement Date' means the date stated in Section 1 of the First Schedule of the Agreement; 
  1. 'QSQ' means Quarterly Sales Quota for any transaction i.e. the professional fee collection via rental or sales of property received by the Agency  
  1. 'Parties' means the Agency and the Negotiator; and 
  1. 'Party' means either the Agency or the Negotiator or the Career Agent and such other additions as Deemed fit;  
  1. ‘Board’ means The Board of Valuers, Appraisers, Estate Agent and Property Manager; 

  

1.2 In the event of any conflict or inconsistency between the terms of this Agreement and its Schedules, the terms of this Agreement shall prevail;  

1.3 Clause headings are inserted for convenience of reference only and shall have no effect in construing this Agreement; 

1.4 Reference to any statute or legislation includes any statutory modifications or re-enactment thereto;  

1.5 Words denoting the singular number only includes the plural number and vice versa; 

1.6 Words denoting the neuter gender shall include the masculine and feminine genders and vice versa.  

1.7 The mode of notification under this Agreement shall be by way of circular posted on the notice board at the headquarters and/or branches of the Agency from time to time. Such mode of notification shall be deemed to be sufficient notice to the Negotiator for the purposes of this Agreement and shall take effect from the date specified in the notice or circular (hereinafter referred to as the "Circular").  

2.0 APPOINTMENT AS NEGOTIATOR  

2.1  The Agency hereby appoints the Negotiator to transact real estate agency business on the terms and conditions hereinafter appearing.  

3.0 SCOPE OF THE NEGOTIATOR'S AUTHORITY  

3.1  Subject always to the terms hereinafter provided and any directions and restrictions from time to time notified by the Agency in writing, and as per stipulated by the Act, the Rules and the Standards, the Negotiator is responsible to act as a real estate negotiator: 

  1. in respect of any sale or other disposal of land and buildings and of any interest therein;  
  1. in respect of any purchase or other acquisition of land and buildings and of any interest therein; (c) in respect of any leasing or letting of land and buildings and of any interest therein;  
  1. in making known of the availability of land, building, or any interest therein for such sale or disposal, purchase or acquisition, or leasing or letting referred to in paragraph (a), (b) or (c), as the case may be; and  
  1. in respect of any tenancy administration including rental collection, payment of outgoings, arrangement for minor repairs and handing over and taking over the possession of a property of any land and buildings and of any interest therein. 

3.2  The Negotiator shall have no authority to incur any liability for and/or debt on behalf of the Agency. 

3.4  The Negotiator shall not appoint or delegate his responsibility to any person at any time.  

3.5  The Negotiator shall have no authority to commit the Agency to the acceptance of any agency appointment before the written approval/acceptance by the Agency is obtained.  

3.6  The Negotiator shall have no authority to make and/or accept any offer to any person or party. All contractual matters are reserved to the agency. 

 

4.0 CLIENT MONIES  

4.1  The Negotiator may collect client monies in respect of the real estate agency business and promptly submit the same to the Agency’s client account. The Negotiator must ensure that all cheques or drafts from the applicant are drawn in favour of the Agency. All transactions shall be submitted with completed applicable Real Estate Agency Forms.  

4.2  The Agency shall be entitled to appropriate any payment due to the Negotiator by way of commissions towards satisfaction wholly or in part of any sum or sums due under this Agreement or of any liability of the Negotiator under any other obligation whatsoever owed to the Agency and whether such liability be existing, future or contingent or otherwise as the Agency shall in its discretion deems fit and the said power of appropriation may be exercised by the Agency either at the time such payment is made or any time thereafter and the Negotiator hereby foregoes in favour of the Agency any right if appropriation of payments which he may otherwise have.  

4.3  All payments by the Negotiator to the Agency shall be made in full, without set-off, deduction any commissions or counterclaim whatsoever.  

5.0 AGENCY’S DOCUMENTS  

5.1  The Negotiator shall not make any alterations, additions or erasures on any of the Agency's Documents or any Real Estate Agency Forms duly signed by the applicants for real estate agency in his possession.  

6.0 NEGOTIATOR'S REMUNERATION  

6.1  The Negotiator shall be entitled to a commission, allowances or bonuses in respect of the Services of the Agency, at the rates already in force or to be notified to the Negotiator from time to time in the Circular. The commission, allowances or bonuses shall be paid on all professional fees received by the Agency in respect of completion of agency contract by the Agency.  

6.2  The Agency shall be entitled at its absolute discretion at any time and from time to time to revise or vary the rates of commissions, allowances or bonuses payable to the Negotiator in respect of any class of real estate agency business or risk by way of notification in the Circular and the variation shall take effect from the date specified in the Circular.  

6.3  The Agency is given the right to deduct commission and give penalty if there is any violation to the regulation which has been agreed. 

6.4  Notwithstanding Clauses 6.1  and 6.2 above, in the event that the prescribed rates of commission or classes of business are amended by statutory modifications or reenactments or by The Board of Valuers, Appraisers, Estate Agent and Property Manager (‘BOVAEAP’), such amendments shall automatically take effect from the date so prescribed thereby and the Agency is not obliged to give the Negotiator notice of such amendments.  

6.5  The Negotiators shall not be entitled to any commission, allowances or bonuses on any real estate agency business unless all documents and pre-conditions has been fulfilled by the Negotiators. 

6.6  When the Negotiators commissions paid and advanced prior completion of a transaction and later on for any reason, the transactions cancelled or rejected by any authority pertaining to the transactions, the paid sum shall be refunded by the Negotiator  

6.7  Notwithstanding any provisions in this Agreement to the contrary, the Agency shall be entitled at any time to deduct from or offset any sum(s) whatsoever due from the Negotiator to the Agency (whether in his capacity as agent hereunder or otherwise) against any commission or any other sums whatsoever due to the Negotiator from the Agency.  

6.8  In the event that the Contracts/Transactions are cancelled after commission released to the negotiators as such as the Agency required to refund the agency fees to the clients, the Negotiator shall herewith shall refund to the Agency, on demand, the paid commission if received by him in advance.  

6.9  The Agency shall be entitled to set-off against any commission or payment payable to the Negotiator any debt or liability due or owing by him to the Agency and the monthly statement of accounts to be rendered by the Agency shall be conclusive evidence of the state of indebtedness of the parties to each other save for manifest error.  

7.0  REAL ESTATE APPRENTICE PROGRAM (RAP) 

7.1 The Negotiator acknowledges that his/her engagement with the Agency is part of the Real Estate Apprentice Program (RAP), aimed at providing structured learning, field exposure, and skill development to prepare the Apprentice for full Real Estate Agent (REA) status. 

7.2 The Negotiator further acknowledges that the Agency has provided and/or will provide education, training, coaching, materials, systems, and resources under the RAP (“Training”) at the Agency’s cost. For the purpose of this clause, Training Cost may include but is not limited to: 

  1. training fees and programme costs; 
  1. trainer, coach, or facilitator fees; 
  1. training materials, systems, and tools; 
  1. onboarding, certification, and examination costs; 
  1. allowances paid specifically for training purposes. 

7.3 In consideration of the Training provided under the RAP, the Negotiator agrees to be bound by an Education / Training Bond for a minimum period of Twelve (12) months, commencing from the date of completion of the Training (“Bond Period”). 

7.2  In connection with the RAP, the Negotiator agrees and undertakes to: 

  1. attend all compulsory training sessions, coaching programmes, and company meetings as required by the Agency; 
  1. complete all assigned tasks, assessments, and learning modules within the prescribed timeframe; 
  1. uphold and promote the image, values, policies, and professional ethics of the Agency at all times; and 
  1. maintain consistent participation, commitment, and satisfactory performance throughout the duration of the RAP. 

8.0  POSITIVE COVENANTS BY THE NEGOTIATOR  

8 .1  The Negotiator shall at all times during the continuance in force of this Agreement:- 

  1. To maintain Real Estate Negotiator (‘REN’) or Probationary Estate Agent (‘PEA’) or other related registration(s) with the Board. If the Negotiator is new and in the process of being registered as a REN/PEA, the Negotiator must be registered within 90 days from this agreement. 
  1. Carry out the business of real estate agency on behalf of the Agency only (and it is expressly agreed that the Agency is entitled at is absolute discretion at any time to vary this provision) and use his best endeavours to preserve and promote the interests and enhance reputation of the Agency; 
  1. Act strictly within the authority conferred by the Agency; 
  1. Be fully responsible for any of this act, omission, neglect or default, whether within or outside the actual, apparent or ostensible authority; 
  1. Maintain accurate accounts of all moneys received in connection with the real estate agency business transacted and make full deposit to the Agency of all sums falling due at times stipulated; 
  1. Notify the Agency immediately of any incident or circumstances which may disrepute against the Agency; 
  1. Keep at all times, full and proper books of accounts and records showing clearly all inquiries, transactions and proceedings relating to the agency and in particular all transactions by or through the Negotiator in relation to certificates and make available for inspection by any other records of whatever nature for the purposes of such officer determining the nature and extent of the business transacted by the Negotiator on the Agency's behalf and the amount of any contributions due to or received by the Negotiator; 
  1. Bear and pay promptly all expenses of and incidental to his agency business with the Agency; 
  1. Achieve the Quarterly Sales Quota as stipulated by the Agency in the relevant Circular in force or to be notified to the Negotiator. The Agency may, from time to time, at their absolute discretion, vary the quota and such variations shall be notified to the Negotiator accordingly; 
  1. Comply with all requests, directives, rules and conditions made or imposed by the Agency including its assigns or authorized leader/mentor from time to time; 
  1. Conduct the agency business with reasonable skill and diligence and in a professional manner and abide by the Code of Ethics and Conduct of the BOVEAP already in force or such new versions or editions of same to be published and notified to the Negotiator according to Clause 1.3  from time to time;  
  1. Render proper account to the Agency when requested and duly signed by the Negotiator personally and to remit all monies, securities or property belonging to the Agency upon demand by the Agency;  
  1. Act honestly with the Agency and not to act in any way detrimental to the Agency’s interest either on his own or in collusion with third party and at all times to conduct the business with utmost good faith and integrity;  
  1. Disclose to the Agency all material facts and/or facts relevant to the formation of the transactions and any risks to be undertaken by the Agency; 
  1. To ensure that he/she meets the activity quota as prescribed by the Agency from time to time; 
  1. Act at all times in a manner which is beneficial to the Agency's interest and shall not act in any manner or do anything which shall be in conflict with the Agency's policies, interest or be injurious or harmful to the Agency;  
  1. To ensure that he/she attends all meetings and programs as and when requested by the Agency; 
  1. Attend all the compulsory and mandatory training courses as required by the Agency; 
  1. To act faithfully in all matter related to the business and to. the best interest of the Agency and obey its rules, regulation in force, orders and instructions that may be issued from time to time; 
  1. Undertake to act faithfully in all matters related to the real estate agency business and to the best interest of the Agency and obey its rules, regulations in force, orders, guidelines and instructions that may be issued from time to time;  
  1. To devote full attention, time, energy and ingenuity towards development of the real estate agency business for the Agency and its Agency force; 
  1. Use his/her best endeavours to promote and extend the marketing of the real estate agency products of the Agency and to work diligently to increase such marketing; 
  1. To make good all losses incurred and/or damages suffered by the Agency resulting from his/her own acts; 

9.0  NEGATIVE COVENANTS BY NEGOTIATOR  

9.1  During the continuance of this Agreement, the Negotiator shall NOT at any time:-  

  1. Disclose to any other person the terms of this Agreement or any other matter relating to the Negotiator's business on behalf of the Agency;  
  1. Print, publish or distribute or cause to be printed, published or distributed including maintenance of website or any electronic publication of any documents, books, technical pamphlets, catalogues, advertising materials, specifications and other materials and/or papers relating to the business of the Agency without the prior written consent of the Agency;  
  1. Make real estate agency transactions outside of the Agency during the continuance of this Agreement. If the Negotiator does so the Agency can recover the commission earned by the Negotiator. 
  1. Appoint any sub-agent;  
  1. Be or act as agent or represent or be connected directly or indirectly or otherwise with any other real estate agency or third party(s) carrying on such business in Malaysia during the continuance of this Agreement. 
  1. Make any statement which is misleading, false or deceptive whether fraudulently or otherwise, or fraudulently conceal a material fact or use marketing brochures or marketing illustration not authorised by the Agency in order to induce a person to enter into a contract; 

10.0  CONFIDENTIALITY/PERSONAL DATA  

10.1  The Negotiator shall at all times during the continuance of this Agreement and after its termination:- 

  1. To keep all Restricted Information (as defined below) confidential arid accordingly not to disclose any Restricted Information to any other person; and  
  1. Not use any Restricted Information for any purpose other than for the performance of the Negotiator's obligations under this Agreement.  

10.2  Any Restricted Information may be disclosed by the Negotiator to:- 

  1. any customers or prospective customers;  
  1. any governmental or other authority or regulatory body;  
  1. any employees of the Negotiator (if applicable) or of any of the aforementioned persons;  
  1. any person as is required by law; to such extent only as is necessary for the purpose contemplated by this Agreement, subject in each case to the using Negotiator’s best endeavors to ensure that the person in question keeps the same confidential and does not use the same except for the purposes for which the disclosure is made;  

10.3  Any Restricted Information may be used by the Negotiator for any purpose, or disclosed the Negotiator to any other person, to the extent only that: 

  1. it is on the date of this Agreement, or becomes, public knowledge through fault of the Negotiator (provided that in doing so the Negotiator shall not disclose any Restricted Information which is not public knowledge):  
  1. it can be shown by the Negotiator, to the reasonable satisfaction of the Agency, to have been known to the Negotiator prior to its being disclosed by the Agency to the Negotiator. 

10.4  Without prejudice to the other express terms and conditions of this Agreement (including, for the avoidance of doubt, provisions requiring the Negotiator to deliver up, inter alia, property belonging to the Agency) and shall and any implied rights of the Agency and after the termination of this Agreement, the Negotiator shall not:  

  1. Use for its own benefit or the benefit of any other person; or  
  1. Disclose to any person; or  
  1. Through any failure to exercise all due care and diligence, cause or permit any authorized disclosure of,  

10.5  Any trader secrets or confidential information which it may have received, used or obtained during the term of this Agreement. Any such trade secrets and confidential information shall at all times remain the property of the Agency and shall only be used by the Negotiator strictly for the purpose of fulfilling its obligations under this Agreement. For the purposes of this clause, trade secrets and/or confidential information shall include, but not be limited to, information concerning the business of the Agency or of persons or companies from time to time dealing with the Agency, lists of and information (including personal data and sensitive personal data) concerning clients, employees, negotiators and managers of the Agency, information relating to the working of any product, process, invention, improvement or development carried on or used by the Agency and information relating to research projects, know-how, prices, discounts, mark-ups, business strategies, marketing, tender and any price sensitive information concerning the Agency. For the avoidance of doubt, the obligation of confidentiality in this clause extends to trade secrets and confidential information howsoever stored, whether in hard copy documents, records or computer programs. The Negotiator will ensure that it will at all times during the continuance in force of this Agreement comply with instruction or any procedure the Agency may provide to the Negotiator on the requirements of the Personal Data Protection Act 2010 ("PDPA").  

10.6  This Clause shall survive the expiry of or the earlier termination of this Agreement.  

10.7  The Agency may request the Negotiator from time to time to provide the personal data and information of the Negotiator including its employees, representative and/or any other individual (if applicable) ("the individual") for the purpose of this Agreement. The Negotiator hereby warrant that it has complied with the PDPA and have obtained the relevant consents from the Individual in relation to the processing and disclosure of their personal data." 

11.0  RIGHTS OF THE AGENCY  

11.1  The Agency reserves the right notwithstanding anything to the contrary herein contained:-  

  1. To make rules and give orders, directions and instructions by issuing and distributing to the Negotiator, circulars and directives from time to time relating to the operation of the agency established hereunder and to amend, modify, vary or revoke the same and the Negotiator shall observe such. rules, orders, directions and instructions contained in the circulars and directives as if they were part of this Agreement;  
  1. To prescribe by notice to the Negotiator by way of Circular, the activity quota and quarterly/annual sales quota, the rates of commission, allowances and bonuses payable to the Negotiator and the promotion requirements, and to amend, modify, vary or revoke any or all of the same;  
  1. To continue serving directly to potential clients notwithstanding this Agreement and no right to commission shall accrue to the Negotiator in respect of any such marketing;  
  1. To transfer the Negotiator by notice in writing made to the Negotiator, to any of its branch offices within Malaysia as it thinks fit for any reason whatsoever and at any time;  
  1. In its absolute discretion, to investigate any transaction or decline for any reason whatsoever to accept the risk of any transaction transmitted to it through the Negotiator save that in such event the Agency will promptly notify the Negotiator of its decision of not accepting such transaction but its failure to notify shall not be construed as proof of acceptance by the Agency and no obligation whatsoever to the Negotiator shall be incurred by the Agency in so declining to accept any application;  
  1. To review the performance of the Negotiator at such time or times as the Agency shall in its absolute discretion think expedient;  
  1. At its discretion, to freeze the Negotiator's commissions which are due to the Negotiator upon the occurrence of the following events:- 
  1. the Negotiator's failure to submit new business for two (2) consecutive months according to the production requirements as provided in the relevant Circular in force; and/or  
  1. the Negotiator's failure to attend the agency meeting for two (2) consecutive meetings without valid reason(s); and/or  
  1. disciplinary action been taken against the Negotiator by the Agency.  
  1. The Agency shall at its sole discretion revive the payment of the commissions if the Negotiator fulfils the requirements for revival or defreezing as stated in the Circular to be issued from time to time and notified to the Negotiator. 
  1. At any time at the sole discretion of the Agency but without prejudice to the other remedies which the Agency may have against the Team Manager/Mentors, to demote the Team Manager/Mentors to a Real Estate Negotiator if the Career Agent fails to observe the covenants contained of this Agreement to the satisfaction of the Agency. 

12.0  DEMOTION  

12.1 If the Agency demotes the Managers/Leaders/Mentors to a Real Estate Negotiator hereof the Agency reserves the right as follows:- 

  1. he/she will cease to receive all basic and overriding commission payable to him/her on the business secured by him/her prior to the date of demotion.  

 13.0  TERMINATION  

13.1  Without prejudice to any other remedy to which it may be entitled by law or by the terms of the Agreement, the Agency shall be entitled to terminate this Agreement by giving seven (7) days' notice in writing upon the occurrence of one or more of the following events namely: -  

  1. The Negotiator ceases to be registered as a real estate agency agent;  
  1. The Negotiator dies or becomes mentally incapacitated;  
  1. The Negotiator fails to meet the activity production and quarterly/annual sales quota requirement as stipulated in the Agency's prevailing Agency Rules and Regulations; 
  1. The Negotiator fails to complete the required and approved training programme as stipulated by the Agency from time to time; 
  1. The Negotiator is in breach of any circular or directive issued by the Agency and/or pursuant to any directive, regulation, rule or statute from any governmental authority, Board of Valuers, Appraisers, Estate Agent and Property Manager (BOVEAP) or any other relevant authority; 
  1. The Negotiator is in breach of any of the terms or conditions of this Agreement and/or the prevailing Agency Rules and Regulations; 
  1. The Negotiator by any act or omission including any breach of law brings discredit to the reputation and integrity of the Agency or is guilty of any fraud, deceit, breach of trust or gross-misconduct and whether acting as a principal offender or an abettor in the commission of the said wrongs; 
  1. The Negotiator is guilty of any conduct which in the opinion of the Agency is prejudicial to the Agency's interest or is guilty of non-disclosure or inaccurate disclosure to the Agency of his past criminal, fraudulent or other prejudicial conduct or with regards of his creditworthiness; 
  1. The Negotiator fails to submit new business to the Agency for a period of three (3) consecutive months. 
  1. The Negotiator is adjudicated a bankrupt or enters into or attempt to enter into a composition or arrangement with his creditors;  
  1. The Negotiator becomes totally and permanently disabled or in the opinion of the Agency from any cause becomes incapable of carrying out the terms of the agency; 
  1. The Negotiator misappropriates any money or payment in any form made in respect of client monies, Ernest deposits or booking monies. 
  1. The Negotiator (and his proxies, if any) during the subsistence of this Agreement becomes an Agent of any other agency competing with the Agency or any Real Estate Agency; 
  1. The Negotiator fails to comply with or contrives the provision of any prevailing statutory provisions governing the real estate agency business;  
  1. The Negotiator is sued in any court and in the course of those proceeding any order is obtained against the Agency;  
  1. The Negotiator is convicted in any court for the commission of any criminal offence;  
  1. The Negotiator shall cease to reside in Malaysia;  
  1. By the withdrawal of the Agency from the territory in which the Negotiator is operating;  

13.2 That if at anytime the Negotiator during the period of this Agreement: 

  1. Abandons the Agency before the completion thereof without the consent of the Agency; or 
  1. Resigns or abandons his employment with the Agency without the consent of the Agency; or 
  1. Is dismissed from the Agency’s service for misconduct or any other reason deemed justified by the Agency; or 
  1. Fails to comply, obey or perform any instruction or directives given by the Agency; or 
  1. Fails to show sufficient motivation and determination to his position or in the opinion of the Agency shows himself unlikely to attain sufficient physical or mental standard to enable him to achieve the results and qualifications for which the Negotiation is designed for, 
  1. The Agency may terminate this Agreement and the Agency may demand recovery of all actual costs incurred for the implementation of the RAP, including but not limited to: 
  1. Training materials and program modules; 
  1. Administrative and coordination expenses; 
  1. System access, software, and marketing tools provided; and 
  1. Trainer time, mentorship, or field supervision costs. 
  1. The Agency reserves the right to deduct such costs or penalties from any commissions, allowances, or payments due to the Apprentice, or to recover the same as a civil debt. 

13.3  As of the effective date of termination and resignation, no commission, bonuses, benefits or compensation in any form whatsoever shall accrue or be to the Negotiator. For cases submitted prior to the termination for which contribution has been paid, upon approval of such cases, the Agency shall pay the commission or any part thereof. However, the termination shall not be construed to affect any claims by the Agency against the Negotiator.  

13.4  If at any time the Agency shall cease to carry on the business of real estate agency in the territory in which the Negotiator is operating, the Agency may in its absolute discretion terminate this Agreement. In the event of such termination, the Negotiator shall not be entitled to be paid compensation by the Agency save for outstanding commissions, allowances and/or bonuses due to the Negotiator prior to the date of termination, less any indebtedness due and owing by the Negotiator to the Agency. However, the termination shall not be construed to affect any claims by the Agency against the Negotiator.  

13.5  Upon termination of this Agreement: -  

  1. The Negotiator shall cease or refrain from transacting any business or to collect any monies on behalf of the Agency unless otherwise authorized in writing by the Agency to do so;  
  1. The Negotiator shall promptly return the Agency's documents and any other books or stationery of whether nature previously provided by the Agency and the costs of carriage and charges in any such return, delivery-up or other disposal shall be borne solely by the Negotiator;  
  1. The Negotiator shall reimburse the Agency for all Training Costs incurred by the Agency in relation to the RAP, including but are not limited to, fees paid to trainers, coaching programmes, training materials, systems, onboarding, and other expenses directly related to the RAP.  
  1. If this Agreement is terminated by the death of the Negotiator, all commission due to prior to the death shall be paid to the estate of the Negotiator less any indebtedness due to the Agency;  
  1. The Agency shall be entitled to publish notices in the local newspapers or through correspondence notifying the public at large that the Negotiator is not authorized to solicit any real estate business or to collect contributions or other payments on behalf of the Agency or to bind the Agency in any way;  

14.0  NON-SOLICITATION OF EMPLOYEES AND CUSTOMERS 

14.1  The Negotiator will not, either directly or indirectly, call on, solicit, or induce any other Negotiators or Leaders or Mentors of the Company or its affiliated entities whom the Negotiators had contact with, knowledge of, or association during this agreement with the Company to terminate his employment, and will not assist any other person or entity in such a solicitation. 

15.0  NEGOTIATOR AS TRUSTEE AND NOT AS EMPLOYEE  

15.1  All monies, property or securities received by the Negotiator for and on behalf of the Agency shall be held by him as a trustee. The Negotiator shall not use, appropriate and/or in any way dispose of the monies, property or securities belonging to the Agency, but shall promptly hand over to the Agency all such monies, property or securities so held by him in accordance with the terms of this Agreement.  

15.2  Nothing contained herein shall be construed to create the relationship of employer and employee whether expressly or implied between the Agency and the Negotiator.  

16.0  INDEMNITY BY NEGOTIATOR  

16.1 In the event, the Agency suffers any loss or any law suits is commenced against the Agency arising out of the breach by the Negotiator, the Negotiator shall indemnify and keep indemnified the Agency against all losses, costs (including costs on a solicitor-client basis) and damages.  

17.0  WAIVER  

17.1  No failure, omission, or delay on the part of the Agency in exercising any right power, privilege, or remedy upon any default on the part of the Negotiator, shall impair any such right, power, privilege, or remedy or be construed as a waiver thereof or and acquiescence in any such default or affect or impair any right power, privilege, or remedy of the Agency in respect of any subsequent default.  

18.0  CHANGE IN PARTIES  

18.1  The liabilities and obligations created by this Agreement shall continue to be valid and binding for all purposes whatsoever notwithstanding any change by amalgamation, reconstruction, or otherwise which may be made in the constitution of the Agency and/or the Negotiator and it is hereby expressly declared that no change of any sort whatsoever in relation to or affecting the Negotiator and/or the Agency shall in any ':ªY effect the liabilities and obligations created hereunder in relation to any transaction whatsoever whether past, present, or future.  

18.2  The Negotiator shall procure the prior written consent of the Agency before effecting any change, which consent shall be at the absolute discretion of the Agency without assigning any reason for the same.  

19.0  GOVERNING LAW  

19.1  This Agreement shall be governed and construed in all respect in accordance with the laws of Malaysia and the Negotiator hereby submits to the jurisdiction of the Courts of the States of Malaysia in all matters connected with the obligations and liabilities under this Agreement.  

20.0  ADDRESS  

20.1  The address of the Negotiator shall be that as herein stated, unless the Agency has in writing by registered post been informed of any such change of address by the Negotiator and the Agency has in writing acknowledged such change of address.  

21.0  NOTICE  

21.1  Any notice, request, demand, writ of summons, summons and all other legal process or communication if specifically and exclusively required to be served personally shall be deemed to have been sufficiently served on the Negotiator if left at the address stated herein or such address as has been acknowledged by the Agency pursuant to the First Schedule above or sent by ordinary post to any such address and in the last mentioned case be deemed to have been made or effected two (2) days after the letter has been posted. Any notice, demand or other communication to be made or delivered by the Negotiator shall only be effected when received by the Agency. Any legal process may also be served at the Agency's discretion in such manner as prescribed by the Rule of Court 2012 including any modifications or re-enactment thereof. 

21.2  Any notice required to be given to the Negotiator under this Agreement (which is not specifically and exclusively required to be served personally) would be deemed good services if effected according Clause 1.3 hereof.  

22.0  AMENDMENTS TO AGREEMENT  

22.1  It is hereby agreed that the Agency shall be at liberty to make any variation, change or amendment to this Agreement including the rates of commissions payable to the Negotiators, to keep in line with the laws of the country, rules and regulations of any Authority or the Agency's policies and the Negotiator shall be accordingly bound thereby. Such amendments may be effected by giving to the Negotiator written notice of such variation, change or amendment by way of Circulars.  

22.2  The Agency is at liberty to issue circulars and directives from time to time relating to the operation of its agency business and the Negotiator shall further comply with all rules, guidelines, instructions and other directions whatsoever made given, varied, amended or enlarged by the Agency from time to time which shall be deemed from part of this Agreement.  

22.3  This Agreement shall be binding upon the parties to this Agreement and their respective successors, heirs, personal representatives and permitted assigns.  

22.4  This Agreement shall unless the Agency otherwise consents in writing supersede abrogate and annul any contract or relationship heretofore held by the Negotiator with the Agency but shall not affect any bond given hereunder.  

23.0  AUTHORIZATION CARD  

23.1  The Negotiator shall at all times during the continuance of this Agreement have in the Negotiator's possession a valid Staff Tag issued by the Agency or REN/PEA Tag to solicit real estate agency business on behalf of the Agency and the Negotiator shall produce the Authorization Card for inspection when so required by any Contract holder of the Agency or any member of the general public wishing to take out real estate agency with the Agency.  

23.2  The Negotiator shall use the Staff Tag issued by the Agency or REN/PEA Tag only when identifying himself as a Negotiator of the Agency and shall not use it for any other purpose.  

24.0  APPLICATION OF RULES & REGULATION OF BOVEAP  

24.1 This Agreement shall be subject to all rules and regulations governing the rates of commission payable and the code of conduct of the Negotiator and the Agency issued by BOVEAP from time to time and any amendments thereto.  25.0  HEADINGS  

25.1  The headings used in this Agreement are for reference only and do not affect the construction of this Agreement or have any binding legal effect.  

26.0  MISCELLANEOUS  

26.1  In this Agreement save where the context shall otherwise require:- 

  1. References to one gender shall include the other;  
  1. Words applicable to natural persons shall include any body of persons, companies, corporations and partnerships;  
  1. Words in the singular shall include the plural and vice versa;  
  1. The expression ''working days'' shall mean the days on which the Agency is open for business in the respective areas/states;  
  1. References to statutory provisions shall be construed as references to those provisions as respectively amended or re-enacted or as their application is modified by other provisions (whether before or after the date of this Agreement) from time to time and shall include any provisions of which they are re-enactments (whether with or without modification);  
  1. All warranties, representations, indemnities, covenants, agreements and obligations given or entered into by the Negotiator if more than one (1) person shall be given or entered into such persons severally unless otherwise specified;  
  1. Reference to 'consent' or words to similar effect mean a consent given in advance in writing signed by or on behalf of the party whose consent is to be given;  

26.2  The terms of any request, directive, rule, or condition made or imposed by the Agency from time to time in any notice or other document by the Agency to the Negotiator shall be read together with and shall be deemed to be part of this Agreement. Any breach of · which shall be deemed to be a breach of this Agreement.  

26.3  The Schedule to this Agreement shall form an integral part of this Agreement.  

26.4  This Agreement together with any other agreement(s) supplemental to this Agreement, rules and/or regulations and/or guidelines issued by the Agency in relation to the real estate agency business of the Agency by way of the Circular shall constitute the entire agreement between the parties herein.  

26.5  In the event that the Negotiator's immediate leader is demoted or his contract terminated for whatsoever reason the Negotiator shall at the discretion of the Agency be assigned to another leader.  

26.6  The Agency shall not be responsible for the acts or defaults of the Negotiator, his employees or representatives. The Negotiator shall be responsible for the transactions entered into and carried out by himself, his employees or representatives and he shall indemnify and keep the Agency indemnified-from and against all losses and damage incurred or suffered by the Agency as a result of the Negotiator or his employees or representatives' acts or defaults.  

26.7  This Agreement supersedes all other existing Agency Agreement(s) entered into between the parties which shall be deemed to be mutually terminated forthwith.  

26.8  In the event of any inconsistencies or conflict in manner whatsoever between the English version and the Bahasa Malaysia version of this Agreement, the English version shall prevail.
